1. Acceptance of Terms

By accessing or using Prism ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

2. Description of Service

Prism is an AI-powered recruitment platform that connects job candidates with employers. Our service includes:

• CV analysis and scoring using artificial intelligence
• Career assessment tools
• Job matching between candidates and employers

2.1 Pricing

Prism is currently free for candidates. We may introduce paid features or subscription plans in the future. If we do, we will notify you in advance and any paid features will be clearly marked. Your existing free access will not be retroactively charged.

3. User Accounts

3.1 Account Creation

• Prism is not intended for anyone under 18 years old
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.

4. User Content

4.1 Your Responsibilities

When you upload content (CVs, assessment responses, interview recordings), you represent that:

• The content is accurate and truthful
• You have the right to share the content
• The content does not violate any laws or third-party rights
• The content does not contain malware, viruses, or harmful code

4.2 License Grant

By uploading content, you grant Prism a non-exclusive, worldwide license to use, store, and share your content for the purpose of providing our services (e.g., sharing your CV with potential employers).

4.3 Content Removal

You can delete your content at any time through your account settings. We will remove it from our active systems within 30 days.

5. AI Analysis and Scoring

• AI scores are based on job requirements and CV content, provided as recommendations to employers
• Job matching suggestions are recommendations, not accept/reject decisions
• Employers always review candidates and make their own hiring decisions
• Prism never autonomously accepts or rejects candidates for employment
• Scores may not capture all aspects of your qualifications
• We strive to minimize bias, but AI systems may have limitations

6. Prohibited Conduct

You agree NOT to:

• Provide false, misleading, or fraudulent information
• Impersonate another person or entity
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or automatically extract data from the platform
• Interfere with or disrupt the platform's functionality
• Violate any applicable laws or regulations
• Harass, abuse, or harm other users
• Use the platform for spam or unsolicited communications

7. Intellectual Property

7.1 Our Property

Prism owns all rights to the platform, including software, design, trademarks, and content (excluding user-uploaded content). You may not copy, modify, or distribute our intellectual property without permission.

7.2 Your Property

You retain ownership of your uploaded content (CVs, responses, etc.). We only use it as necessary to provide our services.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (OR $100 IF NO PAYMENT WAS MADE).

10. Indemnification

You agree to indemnify and hold harmless Prism from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms of Service
• Your uploaded content or use of the platform
• Your violation of any laws or third-party rights

11. Third-Party Services

Our platform integrates with third-party services (e.g., Anthropic for AI analysis, Supabase for data storage, Vercel for hosting). These services have their own terms and privacy policies. We are not responsible for third-party services or their actions. See our Privacy Policy for a complete list of service providers.

12. Modifications to Terms

We may update these Terms of Service at any time. We will notify you of significant changes by email or through a notice on the platform. Your continued use after changes constitutes acceptance of the updated terms.

13. Termination

You may terminate your account at any time through account settings. We may terminate or suspend your access if you violate these terms. Upon termination:

• Your right to use the platform immediately ceases
• Your data will be deleted within 30 days (unless required by law)
• Provisions that should survive termination (e.g., liability, indemnification) remain in effect

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Prism is a Delaware corporation headquartered in California.

14.2 Informal Dispute Resolution

Before filing any formal legal action, you agree to try to resolve any dispute informally by contacting us at founders@tryprism.com. We will try to resolve the dispute within 30 days. Most concerns can be resolved quickly this way.

14.3 Arbitration

If we cannot resolve the dispute informally, you and Prism agree to resolve any claims through final and binding arbitration, except that you may bring claims in small claims court if your claims qualify. The arbitration will be conducted in San Francisco, California, under the rules of a mutually agreed arbitration provider (such as JAMS or AAA).

Class Action Waiver: You agree to resolve disputes with us on an individual basis only, and not as part of any class or representative action.

14.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property, data security, or unauthorized access.

15. Force Majeure

Prism is not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet service provider failures, or third-party service outages (e.g., cloud hosting, AI providers).

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full effect.
